Licensing Agreement and installing Microsoft on a new computer

I plan on purchasing a new computer and would like to install my "Upgrade" 
Microsft Office Small Business Edition 2003 software on the new computer. 
I 
will be recycling the old computer.  Can I install the software on the new

computer without infringing on the licensing agreement?  Because the
software 
is an upgrade version will I need to purchase a computer with a certain 
software package?  I plan on purchasing a DELL laptop computer.  If I can 
transfer the software, do I just use the "upgrade" CD from the software 
package and let Microsoft take care of the rest?
